Terms of Service
1. SCOPE
These general terms and conditions (hereinafter referred to as quot;GTC") apply to all legal transactions between Christine Denzler, 8000 Zurich (hereinafter referred to as quot;seller") and you as the buyer (hereinafter referred to as quot;customer" or "buyer").
A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor self-employed.
Entrepreneur is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.
The seller provides all the services described exclusively on the basis of these general terms and conditions. Deviating terms and conditions of the buyer do not become part of the contract even if the seller does not expressly object to their validity.

2. CONCLUSION OF CONTRACT
The presentation of the goods and services offered does not constitute a binding offer by the seller. Only the ordering of goods or services by the customer constitutes a binding offer.
The seller is contacted by means of a message from the buyer or, in the case of digital products, through automated order processing via the online shop. If the buyer decides to purchase the service and the seller also wishes to conclude a contract, the buyer will receive the relevant contract documents by message from the seller.
In the case of digital goods, the seller grants the customer a non-exclusive right, unlimited in terms of location and time, to use the digital content provided for private and business purposes. Passing on the content to third parties, as well as duplication for third parties, is not permitted unless the seller has given his prior written permission.
There is no right to conclude a contract. The seller is entitled to reject contract offers without giving reasons.

3. SUBJECT SERVICE
The seller offers various services, such as advice.
The parties agree that coaching and consulting is a free, active and self-responsible process and that certain successes cannot be guaranteed by the seller.
The content of the services can be seen on the seller's website, in the online shop or in the offer. The content and services agreed at the time of booking apply.
If the seller can be reached beyond this, the additional costs incurred will be billed on the basis of the agreed or usual hourly or daily rate.

4. SUBJECT MATTER OF DIGITAL PRODUCTS
Digital goods are made available to the customer in electronic form, either as a download, on the website or by e-mail.

5. PAYMENT TERMS
The prices stated at the time of the order apply.
The agreed remuneration is due without deductions within 10 calendar days of the invoice date.
The purchase price for digital products is due immediately upon ordering. Payment is made using the payment methods provided in the online shop.
Installment payments can be agreed on request or availability in the online shop.
If an installment payment is not made, the customer is automatically in default.
If installments are not paid twice in a row, the missing and remaining installments are due immediately as a one-off payment.
If the customer still does not pay, the seller can immediately take legal action without further communication or reminder.
In the event of non-payment, the seller reserves the right at any time to temporarily or permanently block access to the services in the event of the customer's default.
The customer can only offset against claims of the seller with counterclaims that are undisputed or have been legally established or are ready for a decision.
In the event of default of payment, the seller can demand interest on arrears at a rate of 6% pa above the respective base interest rate of the European Central Bank.

6. TERMINATION
After the term has expired or the agreed or booked service has been fulfilled, it ends automatically and does not require termination.
If the customer terminates the cooperation prematurely, the entire amount is due. If payment in installments has been agreed and there are open installments at the time of early termination, these are due immediately and must be paid immediately. A refund is excluded. The early termination must be in writing.
If the seller terminates the cooperation prematurely, the seller will refund the amount in excess of the service rendered. This does not apply if the seller terminates the cooperation prematurely due to the fault of the customer.
An extraordinary termination option remains unaffected.

7. RIGHTS AND OBLIGATIONS OF SELLER
The seller is obliged to use all possibilities available to him for the benefit of the customer. If the seller is no longer able to lead the coaching / consulting or the service to the agreed goal, he is obliged to inform the customer immediately. Upon request, the seller will disclose the procedures and methods used and will also explain their benefits and possible risks upon request.
The seller carries out coaching / consulting for the customer, which aims to analyze, process and optimize the current situation of the customer. The seller is to be seen as a process facilitator who works with the buyer on an equal footing and promotes the buyer's problem-solving skills and autonomy.
The seller is subject to confidentiality regarding all information that becomes known within the cooperation. The seller's duty of confidentiality can only be lifted with the consent of the customer.
The seller protects and respects the interests of the customer at all times. He does not influence the customer in terms of their own personal, political, religious or other views.

8. CUSTOMER'S RIGHTS AND OBLIGATIONS
The customer is responsible for his own actions before, during and after the entire cooperation and he acknowledges that all steps and (implementation) measures taken by him within the framework of the program are his own area of responsibility.
The client is engaged and active throughout the coaching/consulting process. He prepares exercises in preparation for upcoming appointments and undertakes to attend all agreed appointments punctually and conscientiously. The cancellation of an appointment must be made at least 24 hours before the start. Appointments that are not canceled or not canceled in time will be charged at 100% and cannot be made up for.

9. NO WARRANTY
The seller does not guarantee the desired or planned success or the achievement of set goals in the joint work. However, seller and customer work together to the best of their knowledge and ability to ensure that a corresponding success can occur.

10. COPYRIGHTS
The seller is the legal owner of the contractual services. All drafts and the work created by the seller are protected by copyright and aimed at granting rights of use to the work performance.

11. CONFIDENTIALITY
The seller undertakes not to use any business and trade secrets or confidential information of the buyer that have become known during the activity for the buyer or to pass them on to third parties without the prior consent of the buyer.
In addition, the contracting parties agree on confidentiality with regard to the content of the contract and knowledge acquired during the execution of the contract.
The confidentiality obligation also applies after the termination of the contractual relationship for three (3) months.

12. PRIVACY
The seller ensures that personal data from customers is only collected, stored and processed insofar as this is necessary for the contractual service provision and permitted by statutory provisions or ordered by the legislature. The seller will treat personal data confidentially and in accordance with the provisions of applicable data protection law and will not pass it on to third parties unless this is necessary for the fulfillment of contractual obligations and/or there is a legal obligation to transmit it to third parties.
